Scope of Services

Alyza FinPro provides financial and accounting services to businesses based in the United States. The specific scope of work, deliverables, timelines, and fees will be outlined in a separate engagement letter or service agreement signed by both parties. In the event of any conflict between these Terms and an engagement letter, the engagement letter shall control.

Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely access to all financial records, bank statements, receipts, invoices, and other information reasonably requested by us to perform the Services.

  • Designate a point of contact authorized to make decisions and provide approvals.

  • Obtain any necessary consents or permissions for us to access third-party platforms (e.g., QuickBooks, Xero, Shopify, banking portals).

  • Review all reports and deliverables promptly and notify us of any errors or discrepancies within 15 days of receipt.

Our Obligations

We agree to:

  • Perform all Services with reasonable care, skill, and in accordance with professional standards.

  • Maintain the confidentiality of your financial and personal information as described in our Privacy Policy.

  • Communicate clearly and respond to your inquiries within a reasonable timeframe.

Fees and Payment

  • Fees for Services will be set forth in your engagement letter or service agreement.

  • We may charge hourly rates, fixed monthly fees, or project-based fees depending on the service.

  • Invoices are due within [15/30] days of receipt unless otherwise agreed.

  • Late payments may accrue interest at the rate of 1.5% per month or the maximum permitted by law, and we may suspend Services until payment is received.

  • You are responsible for any bank fees, payment processing fees, or collection costs incurred.

Intellectual Property

  • All deliverables, reports, financial models, templates, and materials prepared by us remain our intellectual property until paid for in full. Upon full payment, you receive a non-exclusive, perpetual license to use the deliverables for your internal business purposes.

  • You retain ownership of your original financial records and data.

Limitation of Liability

To the fullest extent permitted by law:

  • Alyza FinPro’s total liability to you for any claims arising out of or related to these Terms or our Services shall not exceed the total fees paid by you to us in the six months preceding the event giving rise to the claim.

  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

  • We are not responsible for errors, omissions, or inaccuracies in information provided by you or third parties.

Indemnification

You agree to indemnify, defend, and hold harmless Alyza FinPro, its owners, employees, and contractors from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your breach of these Terms or the engagement letter.

  • Inaccurate or incomplete information provided by you.

  • Your violation of any applicable law or third-party rights.

Confidentiality

We will treat all your financial and business information as confidential, except as required by law, regulatory authority, or as necessary to perform the Services (e.g., sharing with platform providers). Our detailed confidentiality obligations are set forth in our Privacy Policy and, where applicable, a separate Non-Disclosure Agreement.

Termination

  • Either party may terminate the engagement for any reason by providing [15/30] days’ written notice.

  • We may terminate immediately if you fail to pay fees when due, provide fraudulent information, or breach these Terms.

  • Upon termination, you will pay all fees accrued through the termination date. We will return your original records within a reasonable time upon request.

Governing Law and Dispute Resolution

These Terms and any disputes arising from our Services shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.

Dispute Resolution: Any dispute, claim, or controversy arising out of these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be submitted to binding arbitration in Sheridan, Wyoming in accordance with the rules of the American Arbitration Association (AAA). Judgment on the arbitration award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys’ fees unless the arbitrator determines otherwise.

Third-Party Platforms

Our Services may require access to third-party platforms such as QuickBooks, Xero, Shopify, Amazon, banking portals, and others. You are responsible for reviewing and complying with the terms and conditions of those platforms. We are not liable for any issues, data breaches, or service interruptions caused by those third parties.

Force Majeure

We shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, internet outages, cyberattacks, government actions, or third-party platform failures.

Entire Agreement

These Terms, together with your engagement letter or service agreement and our Privacy Policy, constitute the entire agreement between you and Alyza FinPro regarding our Services and supersede all prior agreements, understandings, or representations, whether written or oral.

Amendments

We may update these Terms from time to time. Any material changes will be communicated to you via email or a notice on our website. Continued use of our Services after the effective date constitutes acceptance of the updated Terms.
